Terms of Service

By accessing or using Uploadly ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Uploadly.

Uploadly is a social media scheduling platform that allows users to upload videos and schedule them for publication across connected social media platforms including YouTube, Instagram, Facebook, and TikTok. The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue features at any time.

• You must be at least 18 years old to create an account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must provide accurate and complete information when creating an account and keep it up to date.
• You may not share your account with others or create multiple accounts to circumvent any limitations.
• You must notify us immediately at joeyzanger@gmail.com if you suspect unauthorized use of your account.

You agree not to use the Service to:

• Upload, publish, or distribute content that is illegal, harmful, defamatory, obscene, or infringes on the intellectual property rights of others.
• Spam, harass, or abuse other users or third-party platforms.
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service.
• Use automated scripts or bots to access the Service in a manner that exceeds reasonable use.
• Violate the terms of service of any connected third-party platforms (YouTube, Instagram, Facebook, TikTok).
• Upload content that you do not have the right to distribute or that violates any applicable law.

We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these acceptable use policies.

The Service allows you to connect third-party social media accounts. By connecting these accounts, you authorize Uploadly to access and publish content on your behalf in accordance with your instructions. You are solely responsible for ensuring you have the right to publish any content to those platforms and for complying with their respective terms of service.

We are not responsible for any actions taken by third-party platforms, including account suspension, content removal, or changes to their APIs that may affect the Service.

Uploadly currently offers a free tier. Premium plans may be introduced in the future. If and when paid plans are offered:

• Fees will be clearly disclosed prior to any charge.
• Subscriptions will renew automatically unless cancelled before the renewal date.
• Refunds will be handled on a case-by-case basis at our discretion.
• We reserve the right to change pricing with reasonable advance notice.

This section will be updated when paid features are launched.

You retain all rights to the content you upload through the Service. By using the Service, you grant Uploadly a limited, non-exclusive license to store, process, and transmit your content solely as necessary to provide the Service.

All software, design, trademarks, and branding associated with Uploadly are the property of Uploadly and may not be used without our prior written consent.

You may terminate your account at any time by contacting us at joeyzanger@gmail.com. Upon termination, your right to use the Service ceases immediately.

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, if continued access would cause harm to other users or the Service, or if required by law. Upon termination, we may delete your data in accordance with our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SCHEDULED POSTS WILL PUBLISH SUCCESSFULLY TO THIRD-PARTY PLATFORMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UPLOADLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING LOSS OF DATA, MISSED PUBLICATIONS, OR ACCOUNT SUSPENSION ON THIRD-PARTY PLATFORMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the new Terms. We encourage you to review this page periodically.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
